AGREEMENT

Pursuant to our conversation, this letter confirms our agreement by and between the under signed company(hereinafter referred to as "company") and                                                                 ( company name )

MUSICIANS’ SERVICES, INC., (hereinafter referred to as "M.S.I.") and describes our respective responsibilities with regard to your engagements.

hereby contracts with M.S.I. effective , 200 to act as the statutory employer for the limited purposes of payroll and employment tax assessments, and that if there should be any proven increases in the amount of employer's root tax; i.e., Temporary Disability Insurance, Workers Compensation, Federal and State Unemployment, Social Security, M.S.I.'s service charge or other applicable taxes for my employees, that I agree to pay same.

2.   It is understood and agreed that M.S.I. shall process my payroll, and they have my full authorization to make all the necessary tax deductions and payment for State and Federal Taxes, Workers Compensation, Temporary Disability, and Service Charges.

3.   It is expressly understood and agreed that M.S.I. is not the employer, but is in fact a payrollservice acting on behalf of so as to comply with Federal and State payroll tax laws.                                       (companyname)

4.  Company or its agent shall provide to M.S.I. on a timely basis all information necessary to compute and pay all of such amounts on behalf of the Company. The Company shall be responsible for any late charges or penalties resulting from late or incorrect payments hereunder where such charges or penalties resulting from Company failure to provide timely and/or accurate information as required herein. Upon receipt of such information, M.S.I. shall calculate and invoice Company for all of such costs plus the fee set forth in paragraph five (5) hereof. Such invoices shall be payable on receipt thereof.

5.   As full consideration for all services rendered by M.S.I., Company agrees to pay M.S.I. a fee equal topercent ( %) of the gross monies processed by M.S.I. on behalf of the Company.

6.  This agreement may be canceled only upon 30 days prior written notice or by mutual agreement between the parties
